Terms of Use

Introduction

These Terms of Use ("Terms" or "Terms and Conditions"), as well as ValEd's Privacy Policy, regulate your relationship with the ValEd website ("Service"). Your access to and use of the Service is conditioned by your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. Your use of the Service will constitute your acceptance of these terms and conditions.

General

1A. Acceptance: The use of the Service is void where prohibited. The Service is for users over the age of 18. By using the Service, you represent and warrant that: (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; and (c) your use of the Service does not violate any applicable law or regulation.

1B. Your ValEd Account and Data: If you create an account on the Service, you are responsible for maintaining the security of your account and data, and you are fully responsible for all activities that occur under the account. You must immediately notify ValEd of any unauthorized uses of your data, your account, or any other breaches of security. ValEd will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. ValEd may from time to time set storage limits for your data or take any other measures ValEd considers appropriate to manage the Service. ValEd may also from time to time change its policies on offering commercial content or displaying advertising, and it may do this without notice.

1C. Modifications: Please regularly check the Service, as applicable, to view the current Terms. When changes are made, ValEd will make a new copy of the Terms available on the Website, as applicable, and we will update the "Last Updated" date at the top of the Terms. For other changes, the Terms are subject to change by ValEd in its sole discretion at any time. If you do not agree to any change(s), please stop using the Website and/or the Services and please contact us to have your account deleted. Otherwise, your continued use of the Website, and/or Services constitutes your acceptance of such change(s). Any changes to the Terms will be effective immediately for new Users of the Services.

1D. Additional Terms: Certain of the Services may be subject to additional terms and conditions specified by us from time to time; your use of such Services is subject to those additional terms and conditions, which are incorporated into these Terms by this reference.

1E. Termination: We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including and without limitations, if you breach the Terms of Use. Upon termination, your right to use the Service will immediately cease.

User Code of Conduct

1A. The following are examples of the kind of activity that is illegal or prohibited on the Service. ValEd reserves the right to investigate and take appropriate legal action against anyone who, in ValEd's sole discretion, violates this provision, including without limitation, reporting you to law enforcement or national security authorities. Prohibited activity includes, but is not limited to:

• a. criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
• b. circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person in circumventing or modifying any security technology or software that is part of the Service;
• c. organizing or encouraging acts of violence;
• d. impersonating or attempting to impersonate another user, person or entity;
• e. using the account, username, or password of another user at any time or disclosing your password to any third party or permitting any third party to access your account;
• f. using any information obtained from the Service in order to harass, abuse, or harm another person or entity, or attempting to do the same;
• g. activity that involves the use of viruses, bots, worms, or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware, or otherwise permit the unauthorized use of or access to a computer or a computer network;
• h. any automated use of the system;
• i. interfering with, disrupting, or creating an undue burden on the Service or the networks or services connected to the Service;
• j. displaying an unauthorized commercial advertisement on the Service, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity through the unauthorized or impermissible use of the Service on behalf of that person;
• k. using the Service in a manner inconsistent with any and all applicable laws and regulations; or
• l. reproducing, duplicating, copying, selling, trading, reselling, or exploiting for any commercial purposes, any portion or use of, or access to, the Content and/or services offered throughout this Service (unless you have been specifically allowed to do so in a separate agreement).

Services

1A. Use of Content: The Website, App and Services, and the information, data and content made available on the Website, App or Services ("Content") are protected by copyright and other intellectual property and proprietary rights laws throughout the world. Subject to the Terms, ValEd grants you a limited license to access, view, download, print or reproduce certain portions of the Services, as designated by ValEd, for the sole purpose of using the Services for your (or your Students' or School's) educational, non-commercial purposes.

1B. Restrictions: The rights granted to you in the Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Website, App or Services; (b) you shall not use framing techniques to enclose any trademark or logo on the Website, App or Services; (c) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Website, App or Services except to the extent the foregoing restrictions are expressly prohibited by applicable statutory law; (d) you shall not use any manual or automated software, devices, or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools, or the like) to "scrape" or download data from any web pages contained in the Website, App or Services; (e) except as expressly stated herein, no part of the Website, App or Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, provided that you may reproduce or print certain Content made available through the Website, App or Services, as designated by ValEd, on behalf of your Students and (f) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Website, App or Services. Your use of the Service does not grant you ownership rights to the contents of the Service. Any future release, update or other addition to the Website, App or Services shall be subject to the Terms. ValEd, its licensors, suppliers and service providers reserve all rights not granted in the Terms. Any unauthorized use of the Website, App or Services terminates the licenses granted by ValEd pursuant to the Terms.

1C. Registration: In order to access certain features of the Services, you must have a registered account for the Services ("Account").

• a. You must be over the age of 18 to register for the Services.
• b. The Services are only to be used for individual, non-commercial use.
• c. In registering for the Services, you (a) agree to provide all necessary information about yourself and your School ("Registration Data"); (b) represent and warrant that all Registration Data is true, current, and complete; and (c) agree to maintain and promptly update the Registration Data to keep it true, current, and complete.
• d. You are responsible for all activities that occur under your Account. You may not share your Account or password with anyone, and you agree to notify ValEd immediately of any unauthorized use of your password or any other breach of security. You agree not to create or access an Account using a false identity or any false or inaccurate information, or on behalf of someone other than yourself. You agree that you shall not have more than one Account at any given time. You agree not to create an Account or use the Services if you have been previously removed by ValEd, or if you have been previously banned from any of the Services.
• e. By accessing or using the Services in any way, you are representing that you have the authority and permission to enter into the Terms on your own behalf and to use the Services as contemplated hereunder, including without limitation any consent necessary to use the Services in connection with any Student with whom you use the Services.

Payments

Certain features of the Services require premium access ("Premium Features") and may require payment from Schools or Teachers. There is no charge for Student access to the Services, although certain features of the Services may require an additional charge.

1A. Ordering Premium Features: You may place orders for the Premium Features by following the directions on the Website or App or otherwise contacting ValEd. The Premium Features are subject to the restrictions set forth on the applicable order page. ValEd may change the pricing for the Services, including Premium Features, (from time to time in its sole discretion) by updating the Website or App, as applicable, and without any additional notice to you, provided that any changes will not take effect until your subscription renews.

1B. Payment Terms: If you order Premium Features, you agree to pay the then-current applicable fee listed on the Website or the App or otherwise agreed to in writing by ValEd. ValEd will automatically bill your payment method submitted in ordering Premium Features on the date of activation. Except as otherwise stated herein, all payments are non-refundable. You hereby authorize ValEd to bill your payment method as described above, which may include automatic renewal and automatic payment if you select a subscription option. Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes, levies or duties. If any fee cannot be charged to your payment method for any reason, ValEd may provide you, via email, notice of such non-payment and a link for you to update your payment information. If such non-payment is not remedied within seven (7) days after receiving such notice of non-payment, then ValEd may suspend the applicable Premium Features.

Security

While ValEd takes security very seriously and works very hard on behalf of Student, Teacher and School privacy, including by using various industry standard measures to protect Content on the Services, no method of transmission or electronic storage on the internet is 100% secure. Therefore, ValEd cannot guarantee the security of any User Content. Except as expressly set forth herein or otherwise agreed to by ValEd in writing, (a) ValEd has no obligation to store any User Content and (b) ValEd has no responsibility or liability for (i) the deletion or accuracy of any Content, including User Content, (ii) the failure to store, transmit or receive transmission of Content, including User Content, or (iii) the security, privacy, storage or transmission of other communications originating with or involving use of the Services.

1A. Links to Other Web Sites: Our Service may contain links to third-party web sites or services that are not owned or controlled by ValEd. ValEd assumes no control over and no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that ValEd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods or services available on or through any such web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Indemnification

You agree to indemnify and hold ValEd, its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors harmless from any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of: (a) your User Content or any Student Data Made Available by you; (b) your use of, or inability to use, the Services; (c) your violation of the Terms; (d) your violation of any rights of another party, including any User; or (e) your violation of any applicable laws, rules or regulations. ValEd reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with ValEd in asserting any available defenses. You agree that the provisions in this section will survive termination of the Terms.

Limitation of Liability

In no event shall ValEd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. ValEd, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
